The Seller shall not be liable for consequential damage or loss to person, property or otherwise.

If the goods are incorporated by the Buyer into composite products such incorporation shall have no effect on the Seller's rights under paragraphs 10a and 10b.

Where the Buyer fails to make any payment when due or commits any act of bankruptcy, or being a Limited Company, winding-up proceedings are commenced by reason of insolvency, or any assignment is made for the benefit of or arrangement made with creditors, the Seller may repudiate this contract wholly or in part by written notice with immediate effect to the Buyer without prejudice to any part of the contract as may already have been performed and retain ownership rights on any equipment or parts already on Buyer's premises or in transit that are not paid for, and, further, the Seller shall have the right to enter the Buyer's premises or any premises under the Buyer's control or to which goods have been taken for the purpose of repossessing the goods.

In addition to any lien to which the Seller may by statute or otherwise be entitled the Sellers shall (on the occurrence of any of the events listed in subclause (d) above) be entitled to a general lien on all the goods belonging to the Buyer in the Seller's possession (although some or all of the goods may have been paid for) for the unpaid price of any other goods sold and delivered to the Buyer by the Sellers under any contract.

Any goods re-possessed by the Seller hereunder may be sold by the Seller on such terms as it may determine.

The Buyer shall indemnify the Seller against all damage, penalties, costs and/or expenses arising out of the infringement of any patent or registered design or any claim in respect of an alleged infringement as aforesaid involved in the carrying out of work in accordance with the Buyer's order, pattern or specification.
